TABLE OF CONTENTS

 

ARTICLE 1: OBJECT

1.1. The simplified joint-stock company Le Comptoir Irlandais, with a registered capital of 764 064 Euros, registered offices at Zone Industrielle de Saint Eloi – 16 rue des Glénan – 29800 PLOUEDERN, registered on the Trade and Companies Register of Brest in France under number 385 246 640, hereafter "the Company" organises a referral program (hereafter "the Referral Program"), exclusively online, in order to promote its commercial website www.comptoir-irlandais.com (hereafter "the Website") among non professional buyers (hereafter "The Web users").

1.2. The Referral Program is available via the Website or any other url address, hyperlink, button or developed application for/in the name of the Company affixed to other websites and redirecting to the Website, and, as the case may be, on any other substitutive web/wap site. The Website is opened to every member registered to Le Comptoir Irlandais services upon acceptance of the Website Terms and Conditions.

1.3. The object of the Referral Program is to promote the Website among non registered Web users, as an incentive for members of the Company to advertise Le Comptoir Irlandais services. In this way, referrers may support non registered web users to become members of the Website, hence godsons. Godsons may then become referrers. To each godson is attached exclusively one Referrer, linked by the referral relationship.

1.4. The participation in the Referral Program implies the complete and unreserved acceptance of this regulation (hereafter the "Regulation"), as well as applicable online ethics, and the complete set of laws and regulations applicable on French territories, including Act n°78-14, 6 January 1978 relative to Information Technology, Data and Liberties.

1.5. For the needs of this Regulation, the following terms with a majuscule have the sense hereby outlined, with the proviso that plural terms may agree the singular and vice versa.

- “Godson” refers to a non registered web user, contacted by a Referrer within the context of a personal relationship, provided the email collected in the frame of the Referral Program is done loyally and in scrupulous observance of Act n°78-14, 6 January 1978 relative to Information Technology, Data and Liberties, in accordance with article 7.3 of this Regulation.
- “Called Godson” refers to a Godson referred in the frame of this Regulation.
- “Confirmed Godson” refers to a Called Godson, registered on the Website, who has placed an order on the Website subsequently to the referral made in the frame of this Regulation.
- “Member of Le Comptoir Irlandais” refers to any web user registered on the Website with prior acceptance of Terms and Conditions of the Website.
- “Referrer” refers to any member who has joined the Referral Program.
- “Participants” refers to any Godson or Referrer who has accepted the terms and conditions of this Regulation.
- “Website” refers to the website available at www.comptoir-irlandais.com and every related online service.

 

ARTICLE 2 – REGULATIONS AND MODIFICATIONS

2.1. This complete Regulation is available on the Website.

Participants may address queries relative to this Regulation or to the Referral Program to Customer Services, through the “contact” page on the website or call +33(0)2 98 85 47 37 (toll-free number, subject to change depending on telephone operators) Monday to Friday from 9.30 am to 5.30 pm except on bank holidays.

2.3. This regulation immediately applies to every Participant.

The Company reserves the right to modify this Regulation and/or the Website, at any time during the Referral Program period, without prior notice, without explanation, and without any liability. Specifically, the Company reserves the right to modify the validity dates of the Referral Program without any justification.

2.4. Any modification of this Regulation will be notified online and is to be enforced as soon as it is published on the Website. All participants are considered bound to any new version of this Regulation as long as they are members of the Referral Program. Any Participant wishing to oppose any modification must notify the Company and will automatically cease to be a member of the Referral Program, and consequently cease to benefit from the Referral Program dispositions.

2.5. The Company may legally, at any time, stop the Referral Program, without prior notice and without explanation. In such case, the Company has no liability and Participants may not claim any kind of compensation.
 

ARTICLE 3 – PARTICIPATION MODALITIES

3.1. WHO MAY BE A MEMBER OF THE REFERRAL PROGRAM AND TO WHAT EXTENT?
Members of the Referral Program must be over 18, with a residential address in the European Union or Switzerland, excepting officers and employees of the Company, and of any owned, jointly owned or parent company, as well as any person in charge of the development of the Referral Program at the Company’s request.

The same person may only be a member of LE COMPTOIR IRLANDAIS once, and one member of the Company may refer up to 100 godsons by type of referral (i.e. 100 different web users who became members of LE COMPTOIR IRLANDAIS following a referral process).

3.2. HOW TO PARTICIPATE?
Referral Program enrolment is to be completed exclusively online. Access to the Website is possible via computer, Smartphone or tablet connected to the Internet.

In order to join the Referral Program, web users must connect to the Website, register as members, complete the form with name, surname, personal address, email address, ID and a personal password of their choice.

Any member may become a referrer via the application module available on the Website, after they placed a first order. The member fills in the referral form in which are specified the electronic addresses of the referred web users. These web users will then receive an email from their Referrer with a link to register on the Website. They must do so by filling in their Referrer’s email address in order to benefit from the Referral Program.

A referral relationship is deemed valid when a Godson registers as Member and places an order.

A valid referral relationship implies that:

-       The Godson is not yet a member of the Website when the Referral is made.

-       The Godson is a natural person distinct from the Referrer and the Referrer’s household.

-       The Godson does not depend on his Referrer to connect to his account, pay or receive orders placed on the website.

The Referrer is notified by email when a referral relationship is confirmed.

A same referrer may refer up to 100 godsons by type of referral.

Each godson must be a distinct natural person.

A referrer may not refer him/herself, refer several times the same person, and refer web users previously registered on the Website or household members.

The Company reserves the right to check the Referrer’s and Godson’s identity, and legally exclude any web users jeopardising the proper execution of the Referral Program by their behaviour.

In case of proven fraud, a penalty matching the total discounts fraudulently obtained, charged with an additional 20% tax-free of the amount corresponding to file processing fees, will be applied and retrieved within 15 days.

3.3. HOW TO USE OF THE REFERRAL APPLICATION MODULE
The complete Regulation relative to the Referral Program, in particular specified enrolment modalities are fully applicable to the use of the online Referral application module.

Specifically, the online Referral application module reminds that a referrer may not refer him/herself, refer several times the same person, and refer web users previously registered on the Website or household members.

The online Referral application module reminds that a referral relationship is deemed valid when a Godson registers as Member and places an order.

A valid referral relationship implies that:

-       The Godson is not yet a member of the Website when the Referral is made.

-       The Godson is a natural person distinct from the Referrer and the Referrer’s household.

-       The Godson does not depend on his Referrer to connect to his account, pay or receive orders placed on the website.

A same referrer may refer up to 100 godsons via the online Referral application module.

 

ARTICLE 4 – WHAT ARE THE BENEFITS FOR REFERRERS AND GODSONS?

4.1. Each valid referral relationship gives the Referrer and the Godson a 10% discount valid on the Website with no minimum amount of purchase. This 10% discount is valid one year after its inception (i.e. after a referral relationship has been confirmed and accepted by Le Comptoir Irlandais). These discounts are nominative (to be exclusively used by the Referrer). They may not be cumulated on a same order or with another discount made by the Company.

Each Referrer may benefit from a maximum of a hundred discounts of 10% corresponding to a maximum of 100 confirmed Godsons.

Benefits regarding the Referral Program are specified in the email sent to the Referrer when a referral relationship is confirmed.

4.2. In accordance with Article 2.4 of this Regulation, the Company reserves the right to modify any characteristics of these discounts (length, amount, minimal amount of purchase) and to modify the nature of or suppress the benefits linked to the referral program in its sole discretion. In such case, the Company’s liability is not engaged and does not entitle Participants to any sort of compensation from the Company.

4.3. The Company reserves the right, in its sole discretion, to support the Referral Program with various promotional benefits made available for the Godson, such as welcome or trial offers (vouchers, delivery refunds or other benefits). The Company reserve the right to contact the Called Godsons, to remind them of the pending benefits and welcome offers.

The Company reserves the right to initiate promotional operations (games, contests, etc.) to incentivise Members of Le Comptoir Irlandais into joining the Referral Program.

 

ARTICLE 5 – LIMITATION OF LIABILITY

5.1. Enrolment in the Referral Program implies knowledge and acceptance of characteristics and limits of the Internet, such as technical limits, response time needed to read and transfer information, risks linked to connection and online transmission. Subsequently, the Company holds no liability in (non-exclusive list):

- the content of requested services, and generally any information or data released on the Website’s services;

- transmission or reception of any data/information on the Internet;

- any malfunction of the Internet network preventing the proper functioning of the Referral Program;

- any malfunction of the reception material being used or communication lines;

- loss of electronic or paper mail, and generally any data loss;

- shipping problems;

- software malfunction;

- virus or computer bugs, anomalies, technical failures;

- any damage caused to the computer of a web user;

- any technical, material or software failure of any nature, preventing or restraining the possibility to enrol in the Referral Program or damaging the web user’s system.

5.2. The Company declines any liability for any direct or indirect damage caused by interruptions, malfunctions or damage caused by a connection to the Website. Every web user is required to take appropriate measures in order to protect personal data and software stocked on the computer. Participants are fully responsible for any connection to the Website and participation to the Referral Program.

5.3. Generally, the Company declines any liability in case of exceptional circumstances caused by external factors beyond its control.

5.4. Participants safeguard the Company against any infringement on third-parties rights. The Company is not accountable for any Participants’ deficiencies or infringements on this Regulation, especially to article 7.3.

In such case, without prejudice to legal actions taken against Participants, the Company reserves the right, in its sole discretion, to suspend any participation in the Referral Program.
 

ARTICLE 6 - CONVENTION OF PROOF

6.1. It is agreed that, in case of obvious error, the Company may rely on, in particular for the purposes of proving any act, fact or omission, the programmes, data, files, recordings, operations and other elements (such as monitoring reports), in computer or electronic format or support, issued, received or kept directly or indirectly by the Company, especially in the information system.

6.2. Participants commit themselves not to contest the admissibility, validity, legal status of afore mentioned electronic and computer data and documents, on the basis of any legal disposition whatsoever, specifying that some documents must be handwritten or signed to constitute hard evidence. Therefore, afore mentioned elements form hard evidence and if produced as evidence by the Company in any legal proceedings, they will be received as such, valid and opposable between the parties in the same conditions and with the same probative force that any other written documents received, kept or issued.
 

ARTICLE 7 – PERSONAL DATA

7.1. Participants are notified that personal data transmitted to the Company being used in the frame of the Referral Program is necessary to confirm their participation.

Contact details of all Participants transmitted to the Company in scrupulous observance of this Regulation shall be used by the Company in accordance with dispositions stated by Act n°78-14, 6 January 1978 relative to Information Technology, Data and Liberties or any act which may hereafter be substituted.

Every participant has a right to access, change, correct or delete personal data by written request made to:

7.2. In this respect, every participant may refer to General Terms and Conditions and specifically to dispositions relative to individual privacy.

7.3. Referrers are notified that, in accordance with dispositions stated by Act n°78-14, 6 January 1978 relative to Information Technology, Data and Liberties, they must ensure with potential Godsons that disclosure of name and electronic addresses has been previously agreed upon so to be processed by the Company.
 

ARTICLE 8 – INTERPRETATION

This Regulation, written in English, will be executed and interpreted in accordance with French law.

Any litigation with a Participant acting as a professional, arising from interpretation and/or execution of this Regulation falls under the exclusive jurisdiction of the Commercial Court of BREST (France).
